Mark's practice is restricted to corporate and commercial law with an emphasis on private company mergers and acquisitions as well as start-up and early stage growth companies. He has broad experience in negotiation and conclusion of the purchase and sale of businesses, commercial dispute resolution including commercial litigation and arbitration, private financing, shareholder arrangements, licensing and general commercial advice to a stable of successful businesses. Mark also acts as a management-nominated arbitrator in collective bargain grievance matters.
Recent significant transactions include a multi-million dollar international equity private placement for a Canadian software company, three unrelated transactions each involving the sale of a different Canadian publishing icon to new ownership interests, the tax-driven restructuring of a major Canadian travel industry player and a secured debenture private placement by a Toronto-based technology company.
Mark is active in various professional associations and has written and lectured on behalf of the Advocates' Society and the Law Society of Upper Canada. An active volunteer on local and national levels, he is a past director of the conservation organization Operation Migration, a registered charity in Canada and the U.S. and of the Acme Theatre Company of Toronto. Mark has served as a member of the Visual Arts Advisory Panel of the Ontario Arts Council. The role of the Panel is to review grant applications and make recommendations to the Council for grant funding.
The rating agency Martindale Hubble recognizes Mark with a Peer Review Rating of "BV - an indication of an exemplary reputation and well-established practice."
